CARD ORDER AGREEMENT ("Agreement")

Prepaid card products ("Cards") purchased at GiftBridge.com, owned by Affinity Center International, LLC ("ACI") can only be used in connection with bonafide business sponsored loyalty, award, or promotional programs (the "Program") where individuals are awarded/rewarded a Card in connection with a Program ("Participants").
The terms "you" and "your" refer to the company placing the order and who has electronically agreed to this Card Order Agreement. The terms "ACI" and "we" and "us" and "our" refer to Affinity Center International LLC. The term "member" refers to your lawful and bona fide business clients who have been identified, reviewed and are members of the association through which the order was placed. IN PARTICULAR, YOU SHALL ENSURE THAT YOUR MEMBERS DO NOT RESELL THE CARDS. CARDS MAY NOT BE RESOLD OR OFFERED FOR SALE TO CONSUMERS.
1. Card Funding and Fees/Payment:
All Card fees, Card funding and shipping and/or handling fees are non-refundable unless otherwise agreed herein. We will generally ship your order within three (3) to five (5) business days after receipt of good funds from you, subject to Section 4.g. below. Shipping and/or handling fees may apply. Such fees and funding shall be remitted to us in accordance with our instructions and ACI retains the right to offset monies due us.
All Card fees, Card funding and shipping and/or handling fees are non-refundable unless otherwise agreed herein. We will generally ship your order within three (3) to five (5) business days after receipt of good funds from you, subject to Section 4.g. below. Shipping and/or handling fees may apply. Such fees and funding shall be remitted to us in accordance with our instructions and ACI retains the right to offset monies due us.
2. Orders:
a. You authorize ACI to accept and process orders from anyone using the information necessary to access your association member account and pay for orders including your account number, user identification number, password, security code, and payment information (collectively "Information"). ACI will have no obligation, liability or responsibility for verifying the identity of anyone using your Information. You have the responsibility of safeguarding your Information and should not reveal your Information to anyone not intended to place orders on your behalf. ACI will not ask in an unsolicited telephone call or e-mail for your Information. If you suspect that an unauthorized user may have had access to your Information, you have the obligation of notifying ACI immediately.
b. We will process each order as received. You are responsible for ensuring accuracy of your order prior to submitting it to us. We shall not be responsible for any transmissions of funding requests made by you or on your behalf that are incorrect. Card funding requests made by you in error are your responsibility. We will cooperate with you to correct such errors, however, we cannot ensure corrections can be made prior to any Participant use of such; corrections you request that will create a negative balance to the Card shall not be
honored; additional fees may apply.
c. Orders are subject to final acceptance by ACI.

3. Authorized Account Set-Up and Changes:
a. You acknowledge that the only way ACI can determine whether any individual is authorized to place orders on your behalf and where you shall be liable for such orders, is for ACI to request such authorization in writing (email or facsimile only) from you and in accordance with ACI’s instructions. Upon receipt of the request, ACI shall validate the request and shall notify the designated contact on your GiftBridge account of the acceptance or decline of the request. For all "accepted" requests, you shall be liable for all orders placed on your behalf. This means that you are liable for payment, and shall not be reimbursed for any Card that is lost, stolen, misappropriated due to theft or embezzlement or that otherwise disappears following delivery as instructed by you or anyone placing orders on your behalf. You shall be responsible for notifying ACI immediately in writing (electronic, facsimile or hard copy) if any individual is no longer authorized to place orders on your behalf. Without such notification, ACI will assume that the process described above is sufficient documentation that the respective individual is authorized to place orders on your behalf. You shall be responsible for any orders placed by authorized individuals prior to your notification to ACI. Further, any electronic communication between you and ACI will take place according to the provisions of this Section. The term "electronic communication" means communication of instructions by email or facsimile. We will consider electronic communication received from you or in your name via email or facsimile to be duly authorized by you. You authorize us to rely and act on any such communication for the purposes of making changes to your account, including but not limited to online ordering passwords and login identification. If the communication is by facsimile transmission, we will be entitled to act upon any signature purporting to be your signature. If we try to verify the signature on a facsimile transmission or the validity of any instructions electronically communicated (though we are not obligated to do so) and are unable to do so to our satisfaction, we may delay in acting on or refuse to act on such instructions. We may, at your request, forward to you copies of any statements, instruments or other documents by facsimile or other electronic transmission to the number or address provided by you. You agree that our records regarding any electronic communication will be admissible in any legal, administrative or other proceedings as if such records were original written documents. Our records will be conclusive proof of the information contained in such electronic communications.
4. Card Issuance and Servicing:
a. For personalized Cards, you warrant that only a first name and last name, or first initial and last name subject to this section, will be provided for personalized embossing on Cards. The text submitted for personalization shall be limited to the following: capital letters A-Z, space, period, comma, hyphen, forward slash, and apostrophe. If the first and last name combined exceeds 26 characters, the field will include the first initial and full last name. If you transmit or provide any text or symbols to ACI via GiftBridge other than the first and last name of the Participant for the personalized embossing, you shall assume any and all costs and liabilities incurred as a result of such action, including but not limited to the cost to destroy and reissue Cards. ACI shall not be held responsible for any delay in funding or Card issuance for such action.
b. If you send text for emboss on the message line for Cards, you shall meet all of the following requirements: (i) text shall be business appropriate, and (ii) text shall not exceed twenty-one (21) characters or spaces in any of the following combinations: Capital letters A-Z, numerals 0-9, period, comma, hyphen, forward slash, apostrophe, or ampersand. If you transmit or provide any text or symbol to ACI other than detailed above, you shall assume any and all costs and liabilities incurred as a result of such action and ACI shall not be held responsible for any delays or cancellation in shipping your Cards as a result thereof.
c. If you send text for use in any other data field not previously defined in Section 4.a. or 4.b above to be used by ACI or you for the Program, the text shall be business appropriate for such use. You shall comply with the instructions provided by ACI for transmission. You shall be responsible for any delay in processing caused by transmission of data that does not meet such criteria for the data fields and ACI shall not be held responsible for any delay in funding or Card issuance resulting from such action by you.
d. As applicable, the personalized Card demographic data must include Participant’s home address regardless of the shipment method. You, or in the case of an employee, shall transmit Participant home address and updates thereto as necessary to ACI regardless of the shipment method specific to personalized Cards.
e. Once a Card is issued or given to a Participant, an agreement between the Card Issuer and the Participant exists and is so documented in terms that accompany each Card (the "Participant Agreement"). Any fees imposed on the Participant such as Card replacement fees, service fees and any other relevant fees will be disclosed in the Participant Agreement.
f. Notwithstanding any Card replacement as permitted in the Participant Agreement, you warrant that no Participant shall receive more than five (5) Cards in a single day for the Program involving shipment of predenominated Cards.
g. In the event that any order or combination of orders, including the initial order, received by ACI from you in a single business day combine to exceed a total of 5,000 new Cards, additional time may be required to complete production and shipment. ACI will work with its Card partners to secure a shipment date commitment and notify you accordingly. ACI shall not be liable for any delay or failure to perform due to any cause or condition beyond our reasonable control whether foreseeable or not including, without limitation, Acts of God, war, riot, fire, explosion, accident, acts of terrorism, seasonality, and unforecasted volume. We shall notify you of any such delay as promptly as possible and any orders so affected shall be suspended for the duration of the delay. Either party may, by prior written notice, terminate an order if delivery is delayed more than ten business days due to causes covered by this Section.
h. ACI Card partners shall provide 24/7 customer service to the Participants via a toll free phone number, and website.
5. Risk of Loss:
a. AS BETWEEN ACI AND YOU, CARDS LOST OR STOLEN IN TRANSIT WILL BE THE RESPONSIBILITY OF ACI. Immediately upon delivery to the address provided by you or someone acting on your behalf, the full risk of loss for such Cards ordered for the Program shall pass to you. For clarity, ACI shall not reimburse you or issue replacement Cards to you for any Card that is lost, stolen, misappropriated or that otherwise disappear after delivery of Cards to the address you designate, whether addressed to you, your agent or representative, or the Participants. This Section does not relieve ACI of its obligations to the Participant as detailed in the Participant Agreement including, but not limited to, providing replacement Cards.
b. Notwithstanding the foregoing, in the event that you provide an address to ACI for delivery that was incorrect, and/or any information provided by you to ACI with regard to the processing of the order was fraudulent, unauthorized or incorrect, you, or your client, shall bear the full risk of loss including the cost of fraudulent or inappropriate Card use and of non-receipt of Cards by the intended Participant.
a. AS BETWEEN ACI AND YOU, CARDS LOST OR STOLEN IN TRANSIT WILL BE THE RESPONSIBILITY OF ACI. Immediately upon delivery to the address provided by you or someone acting on your behalf, the full risk of loss for such Cards ordered for the Program shall pass to you. For clarity, ACI shall not reimburse you or issue replacement Cards to you for any Card that is lost, stolen, misappropriated or that otherwise disappear after delivery of Cards to the address you designate, whether addressed to you, your agent or representative, or the Participants. This Section does not relieve ACI of its obligations to the Participant as detailed in the Participant Agreement including, but not limited to, providing replacement Cards.
b. Notwithstanding the foregoing, in the event that you provide an address to ACI for delivery that was incorrect, and/or any information provided by you to ACI with regard to the processing of the order was fraudulent, unauthorized or incorrect, you, or your client, shall bear the full risk of loss including the cost of fraudulent or inappropriate Card use and of non-receipt of Cards by the intended Participant.
6. Participant Fraud:
a. ACI will not hold you responsible for or seek to collect from you any loss caused by or resulting from any Participant's fraud, misuse, or negative balance transactions involving the Cards except to the extent such loss was caused by your breach of a representation, warranty, or covenant of this Agreement or if you (or your employees, agents or representatives) participated in, had or should have had knowledge of any deceptive, fraudulent or other illegal activity. Subject to applicable law, you agree to comply with all reasonable requests made by ACI to investigate, prevent and recover sums due relating to any actual or suspected loss, fraud, or other improper use of any Card ordered by you or on your behalf.
a. ACI will not hold you responsible for or seek to collect from you any loss caused by or resulting from any Participant's fraud, misuse, or negative balance transactions involving the Cards except to the extent such loss was caused by your breach of a representation, warranty, or covenant of this Agreement or if you (or your employees, agents or representatives) participated in, had or should have had knowledge of any deceptive, fraudulent or other illegal activity. Subject to applicable law, you agree to comply with all reasonable requests made by ACI to investigate, prevent and recover sums due relating to any actual or suspected loss, fraud, or other improper use of any Card ordered by you or on your behalf.
7. Lost and Stolen Cards:
a. For Cards lost or stolen after delivery and reported before the valid thru date, the Card issuer shall replace one (1) Card at no charge, as well as replace onto the new Card, the balance on the Card at the time it is reported lost or stolen by the Participant, in accordance with the Participant Agreement. All subsequent lost and stolen Cards shall be replaced for a fee per Card charged to the Participant as disclosed in the Participant Agreement. Neither ACI nor the Card issuer shall be responsible for replacement of value lost before the Card is reported to customer service at the toll free phone number on the back of your Card as lost or stolen.
a. For Cards lost or stolen after delivery and reported before the valid thru date, the Card issuer shall replace one (1) Card at no charge, as well as replace onto the new Card, the balance on the Card at the time it is reported lost or stolen by the Participant, in accordance with the Participant Agreement. All subsequent lost and stolen Cards shall be replaced for a fee per Card charged to the Participant as disclosed in the Participant Agreement. Neither ACI nor the Card issuer shall be responsible for replacement of value lost before the Card is reported to customer service at the toll free phone number on the back of your Card as lost or stolen.
8. Returns/Error Correction:
a. Subject to this section, you may "return" certain Cards to us and receive a credit for future purchases of Cards. The credit shall be in the amount of the face value of such eligible Cards less a per-Card destruction fee as indicated on the Certificate of Inventory Destruction Form the "CID Process"), AND THE CREDIT MUST BE USED WITHIN 12 MONTHS FOR ANOTHER PURCHASE OF CARDS OR SHALL BE FORFEITED. CID Process requests must meet all the following requirements: (i) such Cards were not previously distributed to Participants; (ii) Cards have no redemption or spend activity; and (iii) Card valid thru date is at least 30 days from the date we receive your request. No refunds will be issued. Cards will not be physically returned, instead, a destruction form will be provided by us and completed by you before your request will be processed; destruction terms apply. For orders placed by you or on your behalf in error (other than errors made by us that are not consistent with your order), or that contain errors made by you, the above requirements under items (i) through (iii) above apply, the per-Card destruction fee shall also apply, along with any applicable Card fees for reorders. Card fees for the original order are not refundable. Conflicts between this Section and the Certificate of Inventory Destruction Form shall be governed by the terms of the Certificate of Inventory Destruction Form.
a. Subject to this section, you may "return" certain Cards to us and receive a credit for future purchases of Cards. Conflicts between this Section and the Certificate of Inventory Destruction Form shall be governed by the terms of the Certificate of Inventory Destruction Form.
9. General Terms:
a. Term/Amendment: Upon placement of your order you agree to comply with the terms and conditions set forth herein, which may be amended or supplemented by ACI from time to time. Current terms and conditions may be found at GiftBridge Card Terms. This Agreement will be effective upon the earlier of the date of acceptance of your quote or placement of your order for Cards and will remain in force until the later of such time each party's obligations as defined herein are fulfilled for such order or the agreement is terminated or amended by the parties as provided herein. Subject to the provisions of this Agreement, Card life as well as Card
balance remaining on the Card, shall be unaffected by the termination of this Agreement or the Card Program. ACI HAS THE RIGHT TO TERMINATE THE AGREEMENT WITH AN ASSOCIATION AT ANY TIME AND WILL BE HELD HARMLESS AGAINST ALL LIABILITY.
10. Intellectual Property:
a. You shall, at all times, accurately describe the terms and conditions of the Card, not strictly for branding purposes and you shall be solely liable for all costs, expenses and outcomes of descriptions of the Card other than as approved by us as defined herein.
b. In addition to the indemnification provisions set forth herein the Agreement, you shall be fully liable for any cost associated with your breach of this section including, without limitation, revised or corrected materials, destruction costs, replacement Cards or other replacements or returns, customer service costs incurred by ACI as a result, legal fees incurred by ACI for enforcement, and other fees incurred by ACI as a result of such breach.
c. Should you violate the intellectual property/branding requirements set forth herein, ACI shall assess the following penalties, in it’s sole discretion: a penalty of $5,000.00 upon a first offense; a penalty of $10,000.00 upon a second offense; and a penalty of $15,000.00 or termination of this Agreement upon a third offense.

11. Representations and Warranties:
a. Both parties represent and warrant that their use and disclosure of personal information regarding Participants will comply with all applicable state and federal laws and regulations relating to the protection of such information. Consistent with the foregoing, you represent and warrant that any such personal information which you furnish to ACI is not the subject of any applicable "opt out" election by a Participant.
b. Each party represents and warrants on their own behalf that they are and shall remain in compliance with applicable law throughout the terms of the Agreement and survival thereafter, as applicable.
c. You warrant that you shall not copy, reverse engineer, decompile or disassemble the online tool made available to you, and you shall limit your use of such online tool provide by ACI to the sole purpose of managing your account and placing orders.
d. You warrant that you will not, directly or indirectly, send or instruct Cards to be sent outside the U.S., its territories, the District of Columbia, or Canada, unless the Program utilizes the Visa Universal Card product. You acknowledge that ACI will not ship Cards to any address where prohibited (limited or fully sanctioned) or recommended against based on any Financial Action Task Force (FATF), Office of Foreign Asset Control (OFAC) sanctions or other similar authority. You further warrant that you will only provide ACI with U.S. shipping addresses for Cards intended for use in the United States, and Canadian shipping addresses for Cards intended for use in Canada.
e. Both parties represent and warrant that their participation in the Program shall at all times conform to the highest standards of business ethics and practices and at no time will they knowingly permit any act by their employees or representatives that will damage the name, reputation or goodwill of the other party, or their affiliated companies.
f. Both parties represent and warrant that they are authorized to enter into this Agreement and that this Agreement does not violate or breach any other agreement to which they may be a party.
g. Subject to Section 13.m., upon your election of bulk shipment available for U.S. or Canadian addresses as applicable, you warrant and represent that you will distribute the Participant Agreement, as provided by ACI, to each Participant with each Card and warrant that you shall protect the Cards as you would a like amount of cash.
h. You warrant that the person accepting this Agreement and placing the order is authorized to do so on your behalf.
i. You warrant and represent that the Card Program requested by you hereunder does not constitute payment of "commissions" e.g., the Card Program does not provide a primary source (50% or more) of compensation to the Participant and is therefore not subject to regulation under Regulation E of the Electronic Funds Transfer Act and its Official Staff Commentary as issued August 24, 2006.
a. Both parties represent and warrant that their use and disclosure of personal information regarding Participants will comply with all applicable state and federal laws and regulations relating to the protection of such information. Consistent with the foregoing, you represent and warrant that any such personal information which you furnish to ACI is not the subject of any applicable "opt out" election by a Participant.
b. Each party represents and warrants on their own behalf that they are and shall remain in compliance with applicable law throughout the terms of the Agreement and survival thereafter, as applicable.
c. You warrant that you shall not copy, reverse engineer, decompile or disassemble the online tool made available to you, and you shall limit your use of such online tool provide by ACI to the sole purpose of managing your account and placing orders.
d. You warrant that you will not, directly or indirectly, send or instruct Cards to be sent outside the U.S., its territories, the District of Columbia, or Canada, unless the Program utilizes the Visa Universal Card product. You acknowledge that ACI will not ship Cards to any address where prohibited (limited or fully sanctioned) or recommended against based on any Financial Action Task Force (FATF), Office of Foreign Asset Control (OFAC) sanctions or other similar authority. You further warrant that you will only provide ACI with U.S. shipping addresses for Cards intended for use in the United States, and Canadian shipping addresses for Cards intended for use in Canada.
e. Both parties represent and warrant that their participation in the Program shall at all times conform to the highest standards of business ethics and practices and at no time will they knowingly permit any act by their employees or representatives that will damage the name, reputation or goodwill of the other party, or their affiliated companies.
f. Both parties represent and warrant that they are authorized to enter into this Agreement and that this Agreement does not violate or breach any other agreement to which they may be a party.
g. Subject to Section 13.m., upon your election of bulk shipment available for U.S. or Canadian addresses as applicable, you warrant and represent that you will distribute the Participant Agreement, as provided by ACI, to each Participant with each Card and warrant that you shall protect the Cards as you would a like amount of cash.
h. You warrant that the person accepting this Agreement and placing the order is authorized to do so on your behalf.
i. You warrant and represent that the Card Program requested by you hereunder does not constitute payment of "commissions" e.g., the Card Program does not provide a primary source (50% or more) of compensation to the Participant and is therefore not subject to regulation under Regulation E of the Electronic Funds Transfer Act and its Official Staff Commentary as issued August 24, 2006.
